PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THIS IS A BINDING CONTRACT.

Live Kanvas Media Group LLC, offers a Creator program (“Program”) in which eligible Creators on the Live Kanvas app and related services (our “Services”) may be able to receive rewards and monetization for posting content on our Services and engaging with other users. These Live Kanvas Content Creator Monetization Program Terms and Conditions (“Terms”) govern your participation in the Program. If you participate in the Program on behalf of a company or other legal entity, such entity will be bound in addition to yourself, and you and your entity are collectively referred to hereinafter as “you.”

IF YOU DO NOT WISH TO AGREE TO THESE TERMS, PLEASE DO NOT JOIN THE PROGRAM.

 

Live Kanvas Creator Submission Process:

To apply, you must submit a complete creator application via the mobile app or web by uploading a movie, short-film, podshow (podcast), series or other media content. Live Kanvas will evaluate Creator’s application and eligibility, and will notify Creator of their acceptance or rejection, which shall be determined by Live Kanvas in its sole discretion. Live Kanvas may reject an application if Live Kanvas determines (in its sole discretion) that Creator does not meet the eligibility requirements of the Program or is otherwise not in compliance with the Terms. 

Live Kanvas is not responsible for any incorrect or inaccurate information supplied by any Creator. You represent and warrant that all application information you submit is truthful and accurate, and that you will maintain the accuracy of such information at all times.

How you can become eligible:

• Obtain 500 subscribers with 3,000 valid public watch hours in the last 12 months
• Creator account in good standing with no active Guideline strikes on your account 
• Creators must have at least one valid digital payment account, registered in their own name if an individual, or owned by them if an entity (“Payment Account,”) that is eligible for use as a payment method. The Payment Account must be in good standing with its provider, and the Creator must complete all required onboarding documentation, including any tax reporting forms required by Live Kanvas, to apply.

 

Live Kanvas reserves the right to add or modify eligibility requirements in its sole discretion.

 

1. Terms of Service.

All terms of the Live Kanvas App Terms of Service, Community Guidelines and other applicable terms of use for the Service, also apply to your participation in the Program and these Terms form a part of your Agreement with us, as “Agreement” is defined in the Live Kanvas App Terms of Service. In the event of a conflict between these Terms and the Live Kanvas App Terms of Service, you agree that these Terms shall take precedence to the extent of the conflict.

2. Your Obligations. 

You represent and warrant that you have provided and will provide only truthful information to us. If any information you have provided to us about you or your participation in the Program has changed, you will immediately update this information. You shall not participate in the Program if any laws or contracts that apply to you prohibit you from participating in the Program. As between you and us, you are solely responsible and liable for any representations, commitments or other communications that you make or transmit to other users of our Services, such as with respect to the frequency of your content or the dates and times of your livestreams. 

3. Payments. 

Subject to the Creator’s continued compliance with Live Kanvas’ Policies throughout the Term, and upon confirmation that the Creator’s account remains in good standing, Live Kanvas will compensate the Creator based on the total number of legitimate, unique video views for eligible User Content that adheres to these Creator Fund Terms (“Video Views”). However, the following views will be excluded at Live Kanvas’ sole discretion:

(a) Views that are artificially generated or obtained.
(b) Paid or incentivized views.
(c) Views from the Creator themselves or individuals acting in coordination with the Creator to artificially inflate metrics.
(d) Any views deemed to be in violation of these Terms, including any attempt to manipulate platform algorithms to increase engagement.

All view counts and eligibility determinations will be based solely on Live Kanvas data and are subject to its exclusive discretion. Monetization doesn’t apply to views before approval. However, if you’ve published videos before that continue to get views, those views will earn money once monetization is enabled.

The Creator acknowledges and agrees that they are solely responsible for any taxes, fees, commissions, or other financial obligations resulting from payments received from Live Kanvas. Additionally, Live Kanvas reserves the right to withhold and remit any required amounts to government authorities as mandated by applicable law. Any withheld amounts will be considered as payments made to the Creator.

Live Kanvas may, at its sole discretion, modify the payment structure prospectively and/or introduce alternative methods for earning payments.

4. Terms of Payment.

Within thirty (30) days of the close of the prior monthly reporting period, Live Kanvas will report the amount of funds accrued during the prior monthly period, which shall be calculated and payable in U.S. dollars. 

Creator will receive a direct deposit into Creator’s Payment Account if the total amount of the funds due to Creator are equal to or exceed the minimum payment threshold of $50.00 USD and Creator remains in compliance with these Creator Fund Terms. All deposits to Creator’s Payment Account must be equal to or exceed $50.00 USD, unless otherwise expressly approved by Live Kanvas in its sole discretion.

Payment may be issued to Creator on behalf of Live Kanvas by subsidiary or affiliate entities or other authorized payor(s), which may act as the payor under these Creator Fund Terms. Live Kanvas may modify or substitute the payor at any time, without notice to you. 

All funds accrued in a reporting period but which do not reach the minimum payment threshold of $50.00 USD will not be eligible for transfer until the funds equal or exceed the minimum payment threshold. Creator is responsible for linking and maintaining an accurate, up-to-date Payment Account that complies with these Creator Fund Terms and the terms of their Payment Account provider, and Live Kanvas will not be responsible for any delay, failure, or inability to transfer payment to Creator’s Payment Account due to any reason out of Live Kanvas’ control, including Creator’s failure to comply with these Creator Fund Terms or the terms of use applicable to any Payment Account. Live Kanvas shall not be responsible for any fees or charges relating to the use or operation of Creator’s Payment Account.  

In the event that Live Kanvas at any time determines in its sole discretion that any Video Views or related content are:

(a.) artificially produced or obtained, 

(b.) paid or incentivized views, or 

(c.) otherwise obtained in violation of these Creator Fund Terms (including, without limitation, the Community Guidelines), or Creator is otherwise in violation of these Creator Fund Terms, Live Kanvas may adjust amounts due to Creator or offset against any payments owing to Creator in the next monthly reporting period. If no future payments are due, Creator will refund to Live Kanvas any amounts owed within thirty (30) days of receiving written notification thereof. Any adjustments or refunds are without prejudice to any other rights or remedies Live Kanvas may have arising out of Creator’s breach of these Creator Fund Terms. Live Kanvas may at any time, without providing a warning or prior notice, temporarily suspend further payments to your Program account, including due to suspected invalid or fraudulent activity or your failure to otherwise comply with these Terms.

5. Rewards. 

We may award Live Bucks, which are a type of virtual item, to your account when users interact with you through our Services. You can only receive live bucks from us and can only redeem live bucks for the specified value from us. The live bucks we deposit in your account have no monetary value except as redeemed, transferred or exchanged within the Service and in accordance with these Terms. You may redeem live bucks for real currency, provided such live bucks are the equivalent of a minimum of $50 USD at the time of such redemption.

Before you may redeem any live bucks, we will take steps to verify that you complied with these Terms and take other steps as required by applicable law. You must complete all required onboarding documentation, including any tax reporting forms required by Live Kanvas before earning or redeeming live bucks.

You are solely responsible for reporting and paying to the relevant tax authority any taxes due on live bucks or other monies you receive under the Program in accordance with local legal and tax requirements based on your personal circumstances. All required verification must be complete and in order to receive live bucks’. We may withhold live bucks or prohibit you from redeeming them if we reasonably believe additional verification is required.

If you close your account or we terminate your account or stop providing Services, you will lose your live bucks and any other Services you may have already paid for and you agree that we do not owe you anything in this situation.

6. Termination. 

Termination & Suspension of Participation

Live Kanvas reserves the right to suspend or terminate a Creator’s participation in the Program at any time, at its sole discretion, under the following circumstances:

(a) If the Creator violates these Creator Fund Terms or Policies, including failure to meet or maintain eligibility requirements.
(b) If the Creator becomes involved in any situation that may negatively impact their reputation or that of Live Kanvas, including the Platform, the Program, or its employees.
(c) For any reason, without cause.

Termination will be effective upon Live Kanvas delivering notice through the Platform.

Creators may voluntarily terminate their participation in the Program at any time by following the cancellation process outlined in their Creator settings.

Upon termination, Live Kanvas will have no further payment obligations. However, if the Creator’s balance at the time of termination exceeds the minimum payment threshold of $50.00 USD, Live Kanvas will issue payment for any undisputed earnings accrued in compliance with these Terms within a reasonable timeframe.

If termination occurs due to a violation of these Terms, the Creator forfeits all unpaid earnings not yet transferred to their Payment Account as of the termination date. Live Kanvas may also withhold any amounts that would have otherwise been payable.

Creators must notify Live Kanvas of any disputes regarding payments, accounting errors, or termination within 30 days of the issue arising. Any disputes not raised within this period will be considered waived.

7. Indemnity; Release of Liability.

To the fullest extent permitted by law, you agree to defend, indemnify and hold us and our parent company and affiliates, and our and their respective successors and assigns, directors, officers, employees, representatives, agents, partners, licensors, operators, advertisers, suppliers and service providers (collectively, “Live Kanvas Media Group Entities”) harmless from and against any and all claims, liabilities, demands, damages, losses, costs and expenses (including reasonable attorneys’ fees) (collectively, “Claims”), caused by, arising from, in connection with, or related in any way to your participation in the Program or your violation of these Terms. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such Claim. Except where prohibited by law, Live Kanvas Media Group Entities shall not be liable for: 

(a.) hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; 

(b.) data corruption, theft, destruction, unauthorized access to or alteration of referrals or other materials; 

(c.) any injuries, losses or damages of any kind resulting from acceptance, possession or use of a reward, or from participation in the Program; or 

(d.) any printing, typographical, administrative or technological errors in any websites or materials associated with the Program.

We do not make any representation or warranty regarding any rewards you can expect at any time in connection with the Program. We will not be liable for any actions or conduct you undertake based on expectations of receiving rewards under the Program.

8. Independent Contractors.

The relationship of you to us is that of an independent contractor. At no time shall you hold yourself out as being an employee, officer, agent, representative, joint venturer, or partner of ours or any Live Kanvas Entity. You are independently obligated to report all income you receive under these Terms. You are wholly responsible for and assume exclusive responsibility for, to the extent applicable, the payment of any applicable taxes, and compliance with any other international, federal, state, or local law, rules and regulations.  You shall indemnify, defend and hold us and the Live Kanvas Entities harmless from any Claims arising out of your failure to pay or withhold any taxes or other required withholdings due on your behalf. 

9. Confidentiality.

As part of your participation in the Program, you may have access to certain non-public information, including reporting metrics and monetary amounts you earned under the Program, and communications between us and you regarding your participation in the Program (“Live Kanvas Confidential Information”), which is confidential and proprietary to us. You may use Live Kanvas Confidential Information only as necessary in exercising your rights granted in these Terms and by applicable law. You agree to keep Live Kanvas Confidential Information strictly confidential and not to disclose Live Kanvas Media Confidential Information without our prior written consent. You agree that you will protect Live Kanvas Confidential Information from unauthorized use, access, or disclosure in the same manner that you would protect your own confidential and proprietary information of a similar nature and in any event with no less than a reasonable degree of care. Nothing in these Terms shall prohibit disclosure of Live Kanvas Confidential Information which:

(a.)  is or becomes publicly available without breach of these Terms by you;

(b.)  is received from a third party without breach by such third party of any obligation of confidence with respect to the Confidential Information;

(c.)  is required to be disclosed by: (a) applicable laws; (b) the rules or regulations of any governmental or regulatory body, authority or agency; or (c) an order of a court of competent jurisdiction or a regulatory or judicial authority; provided that, if you are required to disclose Live Kanvas Confidential Information under such circumstances, you will only do so after giving us prior notice of the applicable disclosure requirement and giving us a reasonable amount of time to seek to limit the disclosure in accordance with applicable law; or

(d.) is disclosed to your employees (if applicable), representatives or legal advisors who need to know such Live Kanvas Confidential Information for the purposes of carrying out your obligations under these Terms, provided that such persons are bound by appropriate confidentiality and non-disclosure obligations under their relevant employment contracts, appointment agreements or otherwise (as applicable).

Upon termination or expiry of these Terms or at such earlier time as we may request, you must return to us or (if return is not practicable) destroy all Live Kanvas Confidential Information and copies thereof that you then have in your possession or control. For the avoidance of doubt, this Section shall survive termination or expiry of these Terms.

10. Assignment; Miscellaneous.

Live Kanvas may modify any of the terms and conditions contained in these Creator Fund Terms, at any time and in its sole discretion. Live Kanvas will endeavor to provide notice to Creator of any Program modifications; provided, however, that Live Kanvas is not responsible for Creator’s failure to receive notice of changes, and Creator agrees to review the Policies and any updated Creator Fund Terms to ensure that Creator is familiar with the most recent version of such Creator Fund Terms and Policies. Creator’s continued participation in the Program following the public posting of updated Creator Fund Terms to Creator shall constitute Creator’s acceptance of the updated Creator Fund Terms. If Creator does not agree to any updated Creator Fund Terms or Policies, Creator may terminate their participation in the Program at any time. These Terms, and any rights, licenses and privileges granted in them, may not be transferred or assigned by you, but may be freely assigned or transferred by us without restriction, notice or other obligation to you.

11. Third-Party Beneficiaries.

Live Kanvas affiliate companies, other than Live Kanvas Media Group LLC. are expressly intended to be and shall be third-party beneficiaries of these Terms.

12. Entire Agreement.

These Terms, as amended, including terms expressly incorporated into these Terms, reflect the entire agreement between the parties with respect to the Program and supersede any prior or contemporary agreements or understandings. Any amendments shall be invalid unless we post or provide them in writing.
